The governing law and jurisdiction applicable to these Terms shall depend on the contracting Mobeep entity:

• For users contracting with the UAE entity, the governing law shall be the laws of England and Wales, with exclusive jurisdiction in the courts of England and Wales.

• For users contracting with the Indian entity, the governing law shall be the laws of India, with exclusive jurisdiction in the courts India.

 
1.2 Acceptance of Terms
 
By accessing, browsing, or using our website, mobile applications, APIs, or any services offered by Mobeep (collectively referred to as the "Platform"), you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"), including all policies referenced herein and/or available by hyperlink.

• "Order" means any request, subscription, or purchase made by the User for Services through the Platform or via direct agreement with Mobeep.

• Mobeep reserves the right to suspend, restrict, or terminate your access to the Platform and Services without prior notice;

• Mobeep may pursue legal remedies available under Applicable Laws, including claims for damages and injunctive relief;

• Mobeep may cooperate with law enforcement authorities in investigating Users who violate these Terms or engage in unlawful activities.

4. PAYMENTS
 
Telecom and cloud communication Services may be provided through direct engagement with Mobeep's authorized representatives, including through proposals, service orders, or specific service agreements.

All services are subject to review and acceptance by Mobeep, and no service shall be deemed accepted until confirmed in writing by Mobeep.

Each accepted service shall be governed by these Terms and any additional service-specific terms mutually agreed upon.

4.1 Payment Terms

• Users agree to pay all applicable fees for Services as set forth in the relevant service or scope of Agreement.

• Payment must be made within the payment period specified in the invoice or service Confirmation.

• Mobeep reserves the right to suspend or terminate Services in the event of delayed or non-payment.

4.2 Pricing and Currency

• Fees shall be quoted in Euro (EUR), United States Dollar (USD), or Indian Rupees (INR), depending on the contracting entity (UAE entity or Indian entity) and User’s location.

• Any applicable banking or currency conversion fees shall be borne by the User.

4.3 Taxes and Duties

• All fees quoted are exclusive of taxes unless stated otherwise.

• Users are responsible for payment of all applicable taxes, including but not limited to VAT, GST, sales taxes, or duties arising out of the use of Mobeep’s Services.

4.4 Cancellation and Modification

• May only be cancelled or modified upon mutual agreement in writing.

• Mobeep reserves the right to charge reasonable administrative or service fees for any cancellation or modification.

4.5 Refunds and Chargebacks

• Refunds are not typically provided once a Service has been initiated unless otherwise agreed in writing or under exceptional circumstances.

• Users shall not initiate any chargebacks or reversals without first attempting to resolve the matter with Mobeep.

• In the event of an unjustified chargeback, Mobeep reserves the right to recover the disputed amount along with any legal or administrative costs incurred.

5. INTELLECTUAL PROPERTY RIGHTS (IPR)
 
5.1 Ownership of Intellectual Property

• All intellectual property rights, including but not limited to trademarks, service marks, logos, domain names, technology, software, methodologies, platform interfaces, designs, and content provided by Mobeep ("Mobeep IP"), are and shall remain the exclusive property of Mobeep or its licensors.

• Nothing in these Terms shall be construed as granting any license or right to use any Mobeep IP without prior written permission.

 
5.2 Restrictions on Use of Intellectual Property

• Users are prohibited from copying, reproducing, modifying, distributing, displaying, or creating derivative works from any Mobeep IP without explicit written authorization.

• Unauthorized use of Mobeep IP may result in legal action, including injunctive relief and claims for damages.

 
5.3 Enforcement of Intellectual Property Rights

• Mobeep actively enforces its intellectual property rights to the fullest extent of the law.

• Mobeep reserves the right to take necessary legal actions against any party infringing upon its intellectual property.

To the maximum extent permitted by applicable law, Mobeep, its affiliates, directors, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to:
(i) The use of, or inability to use, the platform or services;
(ii) Unauthorized access to or alteration of transmissions or data;
(iii) Any conduct or content of any third party on the platform;
(iv) Any content obtained from the platform.

7.2 Third-Party Platforms & Content

• Mobeep provides access to third-party networks and service platforms as part of its business operations.

• Mobeep makes no warranties or representations about the availability, accuracy, or reliability of third-party platforms or content, and shall not be liable for any damages arising from users’ interactions with such third parties.

7.3 Maximum Liability Cap

• Notwithstanding anything to the contrary contained herein, Mobeep’s total cumulative liability to any user for any claims arising out of or related to these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the user (if any) to Mobeep for services giving rise to such claims during the twelve (12) months preceding the claim.

 
8. INDEMNIFICATION
 
8.1 Your Agreement to Indemnify Mobeep

You agree to indemnify, defend, and hold harmless Mobeep, its affiliates, directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to:
(i) Your use or misuse of Mobeep’s platform or services;
(ii) Your violation of these Terms and Conditions;
(iii) Your violation of any rights of a third party, including intellectual property rights or privacy rights;
(iv) Any dispute between you and any third party connected to your use of Mobeep’s services.

8.2 Mobeep’s Right to Control Defence

• Mobeep reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

• In such cases, you agree to cooperate fully with Mobeep in asserting any available defenses.

 
9. DISPUTE RESOLUTION
 
9.1 Amicable Resolution

• In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to attempt to resolve the matter amicably through good-faith negotiations.

• Either party may initiate discussions by providing written notice to the other party, detailing the nature of the dispute and proposing a meeting or conference to seek resolution.

 
9.2 Arbitration

• If the dispute cannot be resolved through amicable negotiations within thirty (30) days from the date of the written notice, the matter shall be referred to and finally resolved by arbitration.

• The arbitration shall be conducted under the rules of the Arbitration and Conciliation Act, 1996.

• The seat of arbitration shall be, depending on the contracting entity (UAE entity or Indian entity) which shall be solely decided by Mobeep.

 
10. GOVERNING LAW & JURISDICTION
 
10.1 Applicable Law

• For contracts entered into with Mobeep's UAE entity, these Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales.

• For contracts entered into with Mobeep's Indian entity, these Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of India.

 
10.2 Jurisdiction

• Parties contracting with Mobeep's UAE entity agree that the courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

• Parties contracting with Mobeep's Indian entity agree that the courts of India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

 
10.3 Compliance with Local Laws

• Users are responsible for ensuring that their use of Mobeep's services complies with all applicable local laws and regulations in their respective jurisdictions.

• Mobeep reserves the right to take appropriate action, including termination of services, if a user's activities are found to be in violation of applicable laws or regulations.

 
11. TERMINATION & SUSPENSION

11.1 Termination by Mobeep

• Mobeep reserves the right to terminate or suspend your access to its services immediately, without prior notice, if you:

(a) Violate these Terms and Conditions;
(b) Engage in activities that may harm Mobeep's operations or reputation;
(c) Use the services in a manner that could disrupt Mobeep’s partnerships with global networks, carriers, or service providers;
(d) Fail to comply with applicable laws or regulations.
 
11.2 Termination by User
You may terminate your agreement with Mobeep by providing written notice at least thirty (30) days in advance. Upon termination:
(a) All rights granted to you under these Terms will cease;
(b) You must cease all use of Mobeep’s services and any associated materials;
(c) Any outstanding fees or charges will become immediately due and payable.

11.3 Effect of Termination

• Upon termination:

(a) Mobeep may delete any data associated with your account, subject to its Data Retention Policy;
(b) Provisions of these Terms that, by their nature, should survive termination (including, but not limited to, confidentiality, indemnification, and limitation of liability) shall continue to apply;
(c) Termination does not relieve either party of any obligations incurred prior to the termination date.
 
12. ACCURACY OF BILLING AND ACCOUNT INFORMATION

• You agree to provide current, complete, and accurate account information for all interactions with Mobeep.

• You are responsible for promptly updating your account and other information, including your email address, payment details, and other contact information, so that Mobeep can complete your transactions and contact you as needed

• Mobeep reserves the right to refuse any request for services at its sole discretion.

Mobeep does not warrant that the services will meet your requirements or that the operation of the services will be uninterrupted or error-free. In no event shall Mobeep be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the services; (e) any errors or omissions in any content; or (f) any other matter relating to the services.

20. INDEMNIFICATION
 
20.1 User Indemnification
 
You agree to indemnify, defend, and hold harmless Mobeep, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:​

• Your use of the platform and services;

• Your violation of these Terms and Conditions;

• Your infringement of any intellectual property or other rights of any third party;

• Any content you submit, post, or transmit through the platform.​

 
This obligation will survive the termination of your use of the platform and services.​

20.2 Mobeep’s Indemnification

Mobeep agrees to indemnify, defend, and hold you harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:​

• Mobeep’s breach of these Terms and Conditions;

• Mobeep’s gross negligence or willful misconduct.​

This indemnification is subject to the condition that you promptly notify Mobeep of any such claims and cooperate with Mobeep in the defense of such claims.
 
21. TERM & TERMINATION
 
21.1 Term

• These Terms and Conditions will remain in effect until terminated by either party as provided herein.​

 
21.2 Termination by Mobeep

• Mobeep reserves the right to suspend or terminate your access to the platform at its sole discretion, without notice, for conduct that Mobeep believes violates these Terms and Conditions or is harmful to other users, Mobeep, or third parties.​

 
21.3 Termination by User

• You may terminate your use of the platform at any time by discontinuing access and ceasing to use the services.​

 
21.4 Consequences of Termination

• Upon termination, your right to use the platform and services will immediately cease.

• Mobeep may delete any content or information associated with your account, subject to applicable laws.

• Termination does not relieve you of any obligations incurred prior to the termination date

 
22. GOVERNING LAW & DISPUTE RESOLUTION
 
22.1 Governing Law

• These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales for UAE entity and India for Indian Entity of Mobeep, without regard to its conflict of law principles.​

 
22.2 Dispute Resolution

• Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, or the breach, termination, or invalidity thereof, shall be resolved through binding arbitration.​

• The arbitration shall be conducted in England, India (according to 22.1), in the English language, and shall be administered by Arbitration and Conciliation under its rules.​

• The arbitral award shall be final and binding upon both parties, and judgment on the award may be entered in any court having jurisdiction thereof.​

• Notwithstanding the foregoing, Mobeep reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized use of its platform.​

23. SEVERABILITY
 
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. 
 
The remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.​
 
This clause ensures that the Terms and Conditions remain effective and enforceable across different jurisdictions, even if certain provisions are deemed invalid or unenforceable in some regions.​

24. ENTIRE AGREEMENT
 
These Terms and Conditions, along with Mobeep’s Privacy Policy and any other legal notices published by Mobeep, constitute the entire agreement between you and Mobeep concerning the use of the platform.​
 
They supersede any prior agreements, communications, or understandings, whether oral or written, between you and Mobeep regarding the subject matter herein.​

Any ambiguities in the interpretation of these Terms and Conditions shall not be construed against the drafting party.
 
25. WAIVER
 
The failure of Mobeep to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.​
Any waiver by Mobeep of any breach or default shall be effective only if in writing and shall not be deemed a waiver of any other or subsequent breach or default.
